Acceptance of Terms
By accessing or using the Alester Carmichael platform (“the Platform”), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Platform. Alester Carmichael reserves the right to update these terms at any time, with continued use constituting acceptance of any changes.
Membership & Access
Access to The Private List is by invitation only. Alester Carmichael reserves the right to approve, deny, or revoke membership at its sole discretion without providing a reason. Members must provide accurate information when creating their account and agree not to share their login credentials or transfer their membership to another person.
Partner Terms
Partners listed on the Platform agree to maintain the accuracy of their business information, including contact details, hours of operation, and descriptions. Partners are responsible for the content they publish on their partner page, including offers, events, and news posts. Alester Carmichael reserves the right to review, modify, or remove any partner content that does not meet our standards or violates these terms.
Offers & Events
Offers, events, and experiences listed on the Platform are created and managed by our partner businesses. Alester Carmichael facilitates introductions and connections but does not guarantee the availability, quality, or outcome of any partner offer or event. Partners are solely responsible for honoring the terms of their published offers and managing their event capacity. Redemption of offers and RSVP to events are subject to availability and partner terms.
Role as Facilitator
Alester Carmichael acts as a facilitator connecting Private List members with luxury businesses. We are not a party to any transaction, agreement, or arrangement between members and partners. Any disputes arising from interactions with partner businesses should be resolved directly between the parties involved.
Limitation of Liability
Alester Carmichael is not liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of the Platform, including but not limited to: participation in partner events, redemption of partner offers, reliance on information provided by partners, or any interactions with partner businesses. Members and partners use the Platform at their own risk.
Intellectual Property
All content, design, branding, and materials on the Platform are the property of Alester Carmichael or its licensors and are protected by applicable intellectual property laws. Partners retain ownership of their own content but grant Alester Carmichael a non-exclusive license to display and distribute their content on the Platform and in marketing materials, including The Private List newsletter.
Prohibited Conduct
You may not use the Platform to: solicit members or partners for competing services; scrape, harvest, or collect data from the Platform; impersonate another person or entity; post false, misleading, or defamatory content; attempt to gain unauthorized access to any part of the Platform; or use the Platform for any unlawful purpose.
Termination
Alester Carmichael may suspend or terminate your access to the Platform at any time for violation of these terms, conduct detrimental to the network, or any other reason at our sole discretion. Upon termination, your right to access the Platform ceases immediately. Partners may request removal of their listing by contacting us directly.
Dispute Resolution
Any dispute arising from these Terms of Service or your use of the Platform shall be resolved through binding arbitration in Maricopa County, Arizona, in accordance with the rules of the American Arbitration Association. These terms are governed by the laws of the State of Arizona.
